These Terms of Service (the “Terms”) govern your access to and use of rastemex.com (the “Site”), operated by Rastemex Group LLC (“Rastemex,” “we,” “us,” or “our”), 2108 N St, Ste N, Sacramento, CA 95816, USA. By accessing or using the Site, you agree to be bound by these Terms and by our Disclaimer and Privacy Policy, which are incorporated by reference. If you do not agree, please discontinue use of the Site.
Use of the Site
The Site presents the sourcing and supply capabilities of Rastemex to business customers. You may use the Site only for lawful purposes and in accordance with these Terms. The Site is intended for business-to-business use; it is not directed to consumers or to children, and no part of the Site constitutes a consumer offer.
No Offer; Quotations and Orders
Content on the Site — including product listings, category descriptions, and technical data — is provided for identification and general information only and does not constitute an offer to sell. Product availability, pricing, lead times, and all commercial terms are established exclusively through a formal written quotation issued by Rastemex and, ultimately, a mutually executed purchase agreement or accepted purchase order. In the event of any conflict between the Site and a written quotation or sales agreement, the quotation or agreement controls. Submitting an enquiry through the Site does not create any obligation on either party.
Intellectual Property
The Site and its original content — including text, page layouts, graphics, technical drawings, and the Rastemex name and logo — are the property of Rastemex Group LLC or its licensors and are protected by copyright, trademark, and other intellectual-property laws. You may view, download, and print pages from the Site for your internal business use in evaluating or procuring products from Rastemex. You may not otherwise reproduce, distribute, modify, create derivative works of, publicly display, or exploit Site content without our prior written consent. Third-party trademarks referenced on the Site are the property of their respective owners, as described in our Disclaimer.
Acceptable Use
You agree not to: (a) use the Site in any way that violates applicable law or regulation; (b) attempt to gain unauthorized access to the Site, its servers, or any connected systems; (c) introduce viruses, malware, or other harmful code; (d) scrape, harvest, or systematically extract data from the Site, including by automated means, except as permitted by standard search-engine indexing; (e) submit false, misleading, or fraudulent enquiries; or (f) interfere with the proper operation of the Site or with any other party’s use of it.
Enquiries and Submitted Information
Information you submit through the Request-a-Quote form must be accurate and complete to the best of your knowledge. You are responsible for ensuring that the technical requirements you provide are correct for your application. Our handling of personal information submitted through the Site is described in our Privacy Policy.
Disclaimers and Limitation of Liability
The Site is provided on an “as is” and “as available” basis. The disclaimers of warranties, the treatment of product specifications and images, and the limitations of liability set out in our Disclaimer apply to these Terms in full. To the fullest extent permitted by applicable law, the aggregate liability of Rastemex arising out of or relating to your use of the Site shall not exceed one hundred U.S. dollars (US $100). Liability, if any, arising from products actually sold by Rastemex is governed solely by the written sales agreement for those products. Nothing in these Terms limits liability that cannot be excluded under applicable law.
Indemnification
You agree to indemnify and hold harmless Rastemex Group LLC and its members, officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms or your unlawful use of the Site.
Export Controls
All quotations, sales, and shipments by Rastemex are subject to applicable export-control and sanctions laws, as described in the Export Controls and Sanctions Compliance section of our Disclaimer. That section applies to these Terms in full.
Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of those courts. This section does not apply to disputes arising under a separately executed sales agreement, which are governed by the terms of that agreement.
Severability; Waiver; Entire Agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Disclaimer and Privacy Policy, constitute the entire agreement between you and Rastemex regarding use of the Site and supersede any prior understandings on that subject. They do not modify or supersede any executed sales agreement between you and Rastemex.
Changes to These Terms
We may revise these Terms from time to time. Changes take effect when posted on this page, and the “Last updated” date above will reflect the most recent revision. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
